Terms of Service

1. The agreement

These Terms are an agreement between iVrs.app ("ivlink", "we") and the business or person that creates an ivlink account or uses our service ("you", the "Customer"). By creating an account, clicking to accept, or using the service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy and, where we process personal data for you, our Data Processing Addendum. If you accept on behalf of a company, you confirm you are authorised to bind it.

ivlink is for business use. You must be at least 18. If you have a separately signed order form with us, it takes priority over these Terms where they conflict.

2. Accounts and teams

• Give accurate information and keep it up to date, including billing details.
• Keep passwords, API keys and SDK keys secure. You are responsible for everything done under your account and keys.
• The organization's owner controls billing and membership. Admins and members act on the organization's behalf.
• Tell us promptly at help@ivrs.app if you suspect unauthorised use.

3. The service

ivlink lets you create short links that route people to your app or website by platform, connect your own domains, measure clicks and app events, and integrate through our REST API and mobile SDKs. Features differ by plan, as shown on our pricing page. We may improve or change features; if we remove a material feature you pay for, we will give you at least 30 days' notice.

Some features are probabilistic. In particular, iOS install matching (deferred deep linking) estimates which click led to an install and can occasionally be wrong. Don't rely on it for decisions that need certainty, such as payments.

4. Plans and credits

• Usage is measured in credits. Creating a link uses 1 credit and includes its first 1,000 clicks; each further 1,000 clicks on that link uses 1 credit.
• Credits are used in this order: signup gift, then plan credits, then top-ups, and within each kind those expiring first.
• The signup gift (1,000 credits) is given once per verified person and expires after 90 days.
• Plan credits are granted each billing period and expire at its end. Top-up credits expire 12 months after purchase.
• When your balance reaches zero, creating links and viewing analytics pause until you add credits. Existing links keep redirecting.
• Credits have no cash value, cannot be transferred, and are not refundable except as our Refund Policy states.

5. Payment, renewal and taxes

• Prices are in Indian Rupees and are shown on our pricing page. Payments are processed by Razorpay.
• Subscriptions renew automatically at the end of each monthly or yearly period until cancelled. By subscribing, you authorise us and Razorpay to charge your chosen payment method at each renewal.
• Upgrades take effect immediately and are charged pro rata for the rest of the current period. Downgrades take effect at the end of the period.
• If a renewal payment fails, it will be retried for several days. If it still fails, your organization moves to the Free plan. Your data and links are kept.
• Prices exclude taxes. Where we are required to charge GST or other taxes, we will add them and show them on your invoice. You are responsible for any withholding taxes you are required to deduct.
• We may change prices with at least 30 days' notice; changes apply from your next renewal.

6. Cancellation and refunds

You can cancel at any time from Billing. Your plan stays active until the end of the period you have paid for, then moves to Free. Refunds are covered by our Refund & Cancellation Policy.

7. Acceptable use

You must follow our Acceptable Use Policy. In short: no phishing, malware, scams, illegal content, spam or attempts to disrupt the service. You are responsible for the destinations of your links and for the content and data your apps send through our SDK.

8. Your data

• You own your data: links, link data, and the analytics and events collected for you. You give us permission to process it only to provide, secure and improve the service and as our Data Processing Addendum describes.
• You are responsible for having a lawful basis, and for giving any notices and obtaining any consents required, for the personal data your links and apps collect. This includes telling your app users about link attribution.
• We may use aggregated, de-identified statistics (for example, total clicks across all customers) to run and improve ivlink. They never identify you or any individual.
• You can export your links at any time through the API. After your account closes, we delete your data as our Privacy Policy describes.

9. API, SDK and keys

• API keys are secret and must only be used from your servers. SDK keys are publishable and may be included in your apps.
• Stay within the published rate limits. Don't try to get around plan limits, credits or security controls.
• We license the SDKs to you for use in your apps while you have an account. You may not resell the service or offer it under your own brand without a written agreement with us.

10. Intellectual property

ivlink, its software, SDKs, documentation and brand belong to us and our licensors. These Terms don't transfer any ownership. If you send us feedback, we may use it without obligation to you.

11. Availability and support

We design ivlink so live links keep redirecting even when other parts of the service are unavailable, and we work to keep the service available at all times. Except where a signed Enterprise agreement includes a service level agreement, the service is provided without a guaranteed uptime. Support is by email at help@ivrs.app; we aim to reply within one business day.

12. Suspension and termination

• We may disable a link or suspend an account immediately if we reasonably believe it is being used for phishing, malware, fraud, illegal activity or anything that threatens the service or others. Where we can, we will tell you why and let you fix it.
• Either party may end this agreement if the other materially breaches it and doesn't fix the breach within 30 days of notice.
• You can stop using ivlink and ask us to close your account at any time.
• Sections that by their nature should continue (payment, liability, indemnity, governing law) survive termination.

13. Disclaimers

The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don't promise the service will be error-free or uninterrupted, or that attribution will be exact.

14. Limitation of liability

To the fullest extent the law allows: neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data; and each party's total liability under this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits don't apply to your payment obligations, to either party's indemnity obligations, or to liability that can't be limited by law.

15. Indemnity

You will defend and compensate us against third-party claims arising from your links' destinations, your content, the data you collect, or your breach of these Terms or the law. We will defend and compensate you against third-party claims that the ivlink service, used as permitted, infringes their intellectual property rights.

16. Confidentiality

Each party will keep the other's non-public business information confidential, use it only for this agreement, and protect it with reasonable care, except where disclosure is required by law.

17. Governing law and disputes

These Terms are governed by the laws of India. The courts at Gurugram have exclusive jurisdiction. Before going to court, both parties will try in good faith to resolve a dispute by discussion for at least 30 days.

18. General

• We may update these Terms. We will give at least 15 days' notice of material changes by email or in the dashboard.
• Neither party is liable for delays caused by events beyond its reasonable control.
• You may not assign this agreement without our consent; we may assign it to a successor of our business.
• If any part is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
